05:55 PM EDT, 04/01/2024 (MT Newswires) -- Warner Bros. Discovery ( WBD ) said Monday that independent directors Steven Miron and Steven Newhouse resigned after learning the US Department of Justice is looking into the legality of their service on the board.
Without admitting any violation of the Clayton Antitrust Act, which is the focus of the DOJ investigation, Miron and Newhouse informed the company of their resignation, effective immediately.
Miron and Newhouse were two of the six nominees of Discovery to Warner Bros. board, following the merger of Discovery and Warner's WarnerMedia unit in April 2022. Their terms were set to expire next year, Warner Bros. said in a statement.
Miron, who served as a Discovery director from 2008 to 2022, is currently chief executive officer of Advance/Newhouse Partnership, a closely held media company, and a senior executive officer at Advance, a private, family-held business that owns and invests in a broad range of media and technology companies, Warner Bros. said.
Newhouse, who served as a board observer at Discovery from 2008 to 2022, is co-president of Advance, Warner Bros. said.
"We are disappointed to leave the board, but wish to do the right thing for WBD," Newhouse said in the statement.
